A law firm in Newport Beach is seeking a Public Company Counsel with 5+ years of experience to join its Public Company Advisory group within its Capital Markets practice. The ideal candidate will have deep experience advising public companies on securities law compliance, disclosure, and corporate governance matters. This role involves independently managing day-to-day securities law counseling, SEC reporting, and corporate governance matters, as well as working on transactional elements, including capital markets offerings. Superior academic credentials and strong communication skills are required.

Duties:

  • Advise public companies on a wide range of securities law compliance, disclosure, and corporate governance matters.
  • Manage day-to-day securities law counseling, including SEC reporting, for public company clients.
  • Oversee corporate governance matters and ensure compliance with relevant regulations.
  • Handle transactional elements related to public companies, including capital markets offerings and related securities transactions.
  • Collaborate with other members of the Public Company Advisory group to provide comprehensive legal support.
  • Develop and implement strategies for compliance with evolving securities laws and regulations.
  • Prepare and review SEC filings, including Form 10-Ks, 10-Qs, and proxy statements.
  • Provide guidance on corporate governance best practices and regulatory requirements.
  • Stay updated on changes in securities laws, regulations, and industry trends.

Requirements:

  • 5+ years of relevant experience in advising public companies on securities law compliance and corporate governance.
  • Deep understanding of securities laws and direct experience in public company compliance.
  • Proven ability to independently manage day-to-day securities law counseling and SEC reporting.
  • Experience working on capital markets transactions and related securities matters.
  • Superior academic credentials from a nationally recognized law school.
  • Strong communication skills, both written and oral.
  • Ability to work effectively both independently and as part of a team.

Education:

  • Juris Doctor (JD) from a nationally recognized law school.

Certifications:

  • Admission to practice law and in good standing in the jurisdiction where the firm is located (California preferred).

Skills:

  • Extensive knowledge of securities laws and corporate governance.
  • Expertise in SEC reporting and compliance for public companies.
  • Strong experience with capital markets transactions and public company advisory.
  • Excellent communication skills, with the ability to articulate complex legal issues clearly.
