A law firm seeks a mid-level Corporate Associate to join its Menlo Park office. The firm works with emerging companies, investors, and executives in the tech and life sciences sectors, focusing on venture capital, mergers & acquisitions (M&A), and private equity transactions. As part of a dynamic team, the successful candidate will work on high-profile deals involving startups and unicorns, playing an active role in transactions and providing ongoing legal support to clients across various industries. Duties:

  • Provide legal support on a variety of corporate transactions, including venture capital deals, mergers and acquisitions, and private equity transactions.
  • Draft and review complex corporate agreements, including investment agreements, M&A documentation, and financing arrangements.
  • Lead and manage transaction teams, ensuring smooth progress through all phases of deals.
  • Advise clients on corporate governance and other general corporate matters.
  • Interact directly with clients, providing legal counsel and supporting business strategies.
  • Collaborate with cross-functional teams, including investors, executives, and legal counterparts, to drive successful transaction outcomes.
  • Play a key role in client development and business generation through relationship building.

Requirements:

  • 5+ years of experience in corporate law, with a focus on venture capital, M&A, and private equity transactions.
  • Extensive experience drafting and negotiating corporate documents and managing complex transactions.
  • Proven track record in corporate governance and advising clients on general corporate matters.
  • Strong ability to lead deal teams and manage multiple priorities in a fast-paced environment.
  • Excellent written and verbal communication skills, with the ability to engage with clients and opposing counsel effectively.
  • Exceptional interpersonal skills with a collaborative and team-oriented attitude.
  • Strong academic credentials from a reputable law school.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admitted to the bar in California (or eligible for admission).

Skills:

  • Expertise in venture capital, M&A, and private equity transactions.
  • Proficiency in drafting and reviewing complex corporate legal documents.
  • Strong leadership and team management capabilities.
  • Excellent communication skills, both written and verbal.
  • Ability to provide high-level legal advice on corporate matters.
  • Client-focused with a strong ability to build and maintain client relationships.
