Job Overview

A law firm seeks an experienced Finance & Restructuring Counsel to provide legal representation for financial institutions and corporate trust clients in a variety of complex financial transactions. This role involves advising on structured finance matters, municipal debt, and corporate debt transactions, as well as drafting and negotiating key agreements. The ideal candidate is highly skilled in handling financial deals with minimal supervision and thrives in a collaborative, fast-paced legal environment.

Duties

  • Provide legal counsel to financial institutions and corporate trust clients on structured finance, municipal debt, and corporate debt transactions.
  • Draft, analyze, and negotiate a wide range of financial agreements, including trust indentures, loan agreements, agency and custodial contracts, servicing agreements, and non-disclosure agreements.
  • Ensure compliance with regulatory and financial laws in all transactions.
  • Manage multiple transactions simultaneously, maintaining a high level of accuracy and attention to detail.
  • Offer strategic guidance on financial transactions and restructuring initiatives.
  • Supervise and mentor junior attorneys and legal support staff.
  • Collaborate with legal teams and stakeholders to deliver comprehensive financial legal solutions.

Requirements

  • Minimum of seven years of experience in finance and restructuring law.
  • Strong background in structured finance, corporate trust, and financial services matters.
  • Demonstrated expertise in contract negotiation and transactional agreements.
  • Exceptional legal research, writing, and analytical skills.
  • Ability to handle multiple projects efficiently and work independently.
  • Proven ability to lead and mentor legal professionals.

Education

  • Juris Doctor (J.D.) from an accredited law school.

Certifications

  • Active law license in at least one U.S. jurisdiction.

Skills

  • In-depth knowledge of finance and restructuring law.
  • Strong contract negotiation and drafting abilities.
