Job Overview:
A highly regarded law firm is seeking a midlevel associate to join its Investment Management practice with a focus on private funds. The ideal candidate will have 3-5 years of experience in a large law firm setting, specifically in the formation and structuring of private investment funds, including hedge funds, venture capital funds, and private equity funds. Experience should also include working on GP-led restructurings, secondary transactions, and co-investments, as well as familiarity with the relevant laws and regulations governing private funds. This position will be based in the firm’s Boston office.

Location:
Boston, MA

Duties:

  • Assist with the formation and structuring of private investment funds, including hedge funds, venture capital funds, and private equity funds.
  • Draft and negotiate documentation for upper-tier management entities, bonus plans, and carry plans.
  • Work on secondary transactions, including GP-led restructurings.
  • Provide legal support for institutional investors in private fund investments and co-investments.
  • Advise clients on compliance with applicable laws and regulations related to private funds.
  • Collaborate with senior associates and partners to deliver high-quality legal services to clients.

Requirements:

  • 3-5 years of experience in private funds law, preferably in a large law firm environment.
  • Experience in forming private investment funds, structuring management entities, and drafting related documentation.
  • Knowledge of secondary transactions, GP-led restructurings, and co-investments.
  • Familiarity with the laws and regulations governing private funds and investment managers.
  • Strong analytical and problem-solving skills.
  • Excellent communication and client-facing skills.
  • Ability to work independently and as part of a collaborative team.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the Massachusetts Bar or ability to obtain admission.

Skills:

  • Expertise in private fund formation and investment management.
  • Strong drafting, negotiation, and structuring skills.
  • Knowledge of regulatory frameworks governing private funds.
  • Effective communication skills, both written and verbal.
  • Ability to manage multiple tasks and deadlines efficiently.
