A law firm seeks an experienced Debt Finance Associate to join their dynamic team in Palo Alto. The ideal candidate will have 2-6 years of experience in structuring, documenting, and negotiating secured and unsecured financing transactions. The role will involve both borrower and lender-side work, including senior secured, mezzanine, subordinated debt transactions, and loan workouts. Candidates with leveraged finance experience, particularly in mergers and acquisitions, are highly preferred.

Duties:

  • Draft and negotiate various financing agreements, including secured and unsecured loans, acquisition financings, and loan workouts.
  • Advise both borrowers and lenders on the full spectrum of financing transactions.
  • Work on complex debt capital market transactions, ensuring alignment with client needs and market trends.
  • Collaborate with cross-functional teams and provide strategic solutions to clients involved in high-stakes, large-scale transactions.
  • Support clients in navigating leveraged finance matters, particularly in the context of mergers and acquisitions.
  • Maintain up-to-date knowledge of industry trends and legal developments relevant to debt finance.

Requirements:

  • 2-6 years of experience in debt finance or a related field.
  • Proven experience in structuring, documenting, and negotiating both secured and unsecured financing transactions.
  • Experience in acquisition financings and loan workouts.
  • Background in leveraged finance, especially about mergers and acquisitions, is preferred.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active license to practice law in California.
