Duties and Responsibilities:

  • Securities and Capital Markets Expertise:
    • Provide legal counsel on public company reporting obligations and SEC compliance.
    • Manage and execute public securities offerings, including both debt and equity transactions.
    • Ensure compliance with corporate governance requirements and regulations.
  • Advisory and Reporting:
    • Advise clients on complex reporting requirements and regulatory issues.
    • Draft and review critical securities-related documents, such as registration statements and prospectuses.
  • Due Diligence and Team Management:
    • Lead due diligence efforts for securities transactions and corporate governance matters.
    • Oversee and coordinate with specialists to ensure thorough due diligence and regulatory compliance.
  • Document Drafting and Review:
    • Prepare and review legal documents, ensuring accuracy and compliance with regulatory standards.
    • Handle the drafting of essential legal agreements and transaction documents.
  • Project Management:
    • Manage multiple legal assignments simultaneously with minimal supervision.
    • Demonstrate strong organizational and time-management skills to handle complex projects effectively.

Requirements:

  • Experience:
    • 2-5 years of experience in corporate law, with a focus on securities law advice and capital markets transactions.
    • Proven expertise in public company reporting, SEC compliance, and capital markets regulations.
  • Education and Certifications:
    • Juris Doctor (JD) degree from an accredited law school.
    • Admission to the Minnesota State Bar or eligibility for admission.
  • Skills and Qualifications:
    • In-depth knowledge of securities laws, public company reporting, and capital markets transactions.
    • Exceptional writing, drafting, and analytical skills.
