A law firm in Charleston is seeking an experienced Corporate Counsel with a strong background in corporate transactional law, including M&A experience. The role requires reviewing, drafting, and negotiating a variety of commercial agreements and providing pragmatic legal counsel to clients. Strong communication skills, business acumen, and the ability to work collaboratively in a team environment are essential.

Duties:

  • Reviewing, drafting, and negotiating principal and ancillary agreements for commercial transactions, including supply, purchase, service, transportation, and related contracts.
  • Providing legal counsel and support on corporate and commercial projects.
  • Conducting due diligence and advising on mergers and acquisitions (M&A) transactions.
  • Advising clients on corporate governance matters and regulatory compliance.
  • Handling legal aspects of corporate finance, securities offerings, and other corporate transactions.
  • Engaging in extensive client interaction to provide practical legal advice and solutions.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the state bar of South Carolina (or eligible for admission).
  • 7+ years of experience in corporate transactional law, with a focus on commercial agreements and M&A transactions.
  • Proven ability to grasp business concepts quickly and provide strategic legal advice.
  • Strong negotiation skills and experience in contract drafting.
  • Excellent written and verbal communication skills.

Preferred Qualifications:

  • Experience in handling international transactions and cross-border issues.
  • Background in securities law and corporate finance.
  • Familiarity with regulatory compliance in corporate environments.
  • Ability to work independently and manage multiple projects simultaneously.

Skills:

  • Ability to analyze complex legal issues and provide practical solutions.
  • Strong interpersonal skills with a client-service mindset.
  • Attention to detail and ability to manage deadlines effectively.
