Job Overview: A leading law firm is seeking an experienced Tax Associate to join its national practice, which covers a wide range of federal, state, and international tax issues. The ideal candidate will have experience in mergers and acquisitions, capital markets, and corporate finance, while assisting clients with equity financings, technology transfers, complex licensing and collaboration arrangements, and comprehensive tax planning both domestically and internationally.

Location:

Duties:

  • Provide tax planning and advisory services in federal, state, and international tax matters.
  • Advise clients on mergers and acquisitions, capital markets, and corporate finance transactions.
  • Assist with equity financings, technology transfers, and complex licensing/collaboration agreements.
  • Develop and implement tax planning strategies for both domestic and international tax matters.
  • Collaborate with colleagues across departments to offer comprehensive legal services to clients.
  • Cultivate and maintain strong client relationships.
  • Draft and review various tax-related documents, agreements, and filings.
  • Manage a variety of cases and responsibilities in a fast-paced, deadline-driven environment.
  • Participate in business development, including client meetings, pitches, and presentations.

Requirements:

  • 5+ years of experience in tax law, specializing in mergers and acquisitions, capital markets, and corporate finance.
  • Strong understanding of federal, state, and international tax law.
  • Experience working with clients in technology, life sciences, or growth enterprises is preferred.
  • Ability to excel in a fast-paced, high-pressure work environment.
  • Excellent verbal, written, and interpersonal communication skills.
  • Strong work ethic and attention to detail.
  • Ability to work independently as well as part of a collaborative team.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Active bar membership in a relevant jurisdiction.
  • Additional certifications such as CPA are a plus but not required.

Skills:

  • Expertise in federal, state, and international tax law.
  • Experience in mergers, acquisitions, capital markets, and corporate finance transactions.
  • Knowledge of technology transfers, licensing agreements, and tax planning.
  • Superior written and verbal communication skills.
  • Ability to build and sustain strong client relationships.
  • Collaborative, detail-oriented, and organized.
