Mid-Level Corporate Mergers And Acquisitions Associate Attorney

Job Overview: A law firm is seeking a Mid-Level Corporate Mergers And Acquisitions Associate Attorney to join their team. The ideal candidate should possess substantial mergers and acquisitions experience, excellent academic credentials, and superior oral, written, and interpersonal skills. Experience or affinity for technology and/or life sciences companies is desirable. The position requires membership to the CA Bar and is located in Mountain View, CA.

Duties:

• Assist in drafting, negotiating, and reviewing merger and acquisition agreements, including asset purchase agreements, stock purchase agreements, and merger agreements.
• Conduct due diligence investigations and prepare related reports and analyses.
• Collaborate with partners and senior associates in managing transactions from inception to closing.
• Provide legal advice and support on corporate governance matters.
• Assist in the preparation of transactional documents and disclosure schedules.
• Conduct legal research and analysis on complex corporate and securities law issues.

Requirements:

• 3-4 years of mergers and acquisitions experience at a leading corporate firm.
• Superior academic credentials from a reputable law school.
• Membership in the California State Bar is required.
• Excellent oral, written, and interpersonal communication skills.
• Strong analytical and problem-solving abilities.
• Ability to work independently and collaboratively in a fast-paced environment.
• Detail-oriented with strong organizational skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Admission to the California State Bar.
