A law firm seeks an experienced and highly motivated Investment Management Associate to join its practice group in Washington, D.C. This hybrid position offers a great opportunity to work with a dynamic team on complex matters related to investment management, securities law, and regulatory compliance. The ideal candidate will have 3-8 years of experience in investment company law and related regulations, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940.

Duties:

  • Advise registered investment companies on compliance with the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934.
  • Prepare and review registration statements, offering documents, and other regulatory filings.
  • Draft and review investment management agreements, board meeting materials, and other client-facing documents.
  • Assist with complex regulatory issues related to investment funds, including preparation of fund formation documents and compliance materials.
  • Provide strategic advice on compliance with federal and state securities regulations.
  • Conduct legal research and analysis on investment management regulations and industry trends.
  • Engage with clients to offer clear and concise advice on legal and regulatory matters.
  • Collaborate with internal teams to ensure effective representation of clients in investment management matters.
  • Attend client meetings and represent the firm in discussions with regulators and industry professionals.

Requirements:

  • 3-8 years of experience in investment management, including expertise in the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Experience in preparing and reviewing investment management agreements and regulatory filings.
  • Strong academic credentials and a proven ability to analyze and resolve complex legal issues.
  • Excellent writing, research, and communication skills.
  • Ability to manage multiple projects, prioritize tasks, and meet deadlines.
  • Must be able to work independently while also collaborating effectively within a team environment.
  • Strong attention to detail and problem-solving capabilities.
  • A can-do attitude and intrinsic motivation to contribute to team success.
  • Bar membership in Washington D.C. or eligibility for reciprocity is required.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the state bar where the candidate practices (D.C. Bar membership preferred).
  • Additional certifications or qualifications in investment management or securities law are a plus.

Skills:

  • Expertise in the Investment Company Act of 1940, the Investment Advisers Act of 1940, and related securities laws and regulations.
  • Proficient in drafting legal documents including registration statements, offering documents, and investment management agreements.
  • Strong oral and written communication skills for client-facing interactions and internal collaboration.
  • Excellent legal research and analytical skills.
  • Ability to manage complex, multi-faceted matters with a high level of accuracy and efficiency.
  • Familiarity with the regulatory environment governing investment management and securities compliance.
