Duties:

  • Advise clients on tax matters related to M&A transactions and middle market private equity deals.
  • Draft, review, and negotiate tax provisions in transaction agreements and documents.
  • Perform due diligence to assess tax implications and identify potential risks.
  • Work with clients, colleagues, and third parties to resolve complex tax issues.
  • Ensure compliance with applicable tax laws and regulations.
  • Provide timely, accurate, and high-quality legal advice and documentation.
  • Manage multiple projects and deadlines effectively.
  • Foster and maintain positive relationships with clients and colleagues.
  • Communicate clearly and persuasively, both verbally and in writing.
  • Perform additional tasks and projects as assigned by the firm.

Requirements:

  • JD degree from an accredited law school.
  • Admitted to practice in Georgia or eligible for admission.
  • Minimum of 5+ years of experience in transactional tax, with a focus on M&A and private equity.
  • Direct experience with an AmLaw 100 law firm or the SEC is preferred.
