This role is ideal for an attorney with significant experience in transactional law, particularly in mergers, acquisitions, and private equity deals. The successful candidate will work on high-stakes matters, offering strategic guidance to clients and contributing to a collaborative and dynamic legal practice.

Duties:

  • Draft, negotiate, and review legal documents related to mergers, acquisitions, and private equity transactions.
  • Lead due diligence efforts, identifying potential legal risks and ensuring adherence to relevant regulations.
  • Advise clients on structuring deals and navigating corporate governance requirements.
  • Collaborate with multidisciplinary teams to achieve client objectives and implement effective legal strategies.
  • Monitor transaction timelines to ensure efficient and timely deal execution.
  • Maintain knowledge of legal and regulatory developments impacting transactional law.

Requirements:

  • 3 to 7 years of experience in corporate transactions, focusing on M&A and private equity.
  • Strong legal research, drafting, and analytical skills.
  • Ability to manage complex legal projects and meet tight deadlines.
  • Demonstrated experience in working collaboratively within a team and with clients.

Education:

  • Juris Doctor degree from an ABA-accredited law school.

Certifications:

  • Licensed to practice law in Texas or eligibility for prompt admission to the Texas Bar.

Skills:

  • Expertise in corporate transactional law, including deal structuring and compliance.
  • Advanced negotiation skills and attention to detail in legal drafting.
