Duties and Responsibilities:

  • Advise clients on various mergers and acquisitions (M&A) transactions, including asset purchases, stock purchases, and mergers.
  • Draft, review, and negotiate transaction documents, including letters of intent, purchase agreements, and disclosure schedules.
  • Conduct due diligence and coordinate with other departments and external advisors to ensure thorough analysis and risk assessment.
  • Collaborate with senior attorneys and partners to develop strategic legal approaches and solutions for clients.
  • Manage and supervise junior associates and support staff on M&A transactions.
  • Represent clients in negotiations with opposing counsel and regulatory bodies.
  • Stay current on relevant legal trends, regulations, and market developments in the M&A field.
  • Assist with general corporate transactional matters as needed.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California Bar or eligible to be admitted to the California Bar.
  • 3-5 years of experience in corporate M&A law, with a demonstrated track record of handling significant transactions.
  • Strong analytical and problem-solving skills with a keen attention to detail.
  • Proven ability to manage multiple projects and deadlines in a fast-paced environment.
  • Excellent written and verbal communication skills.
  • Ability to work collaboratively within a team and provide high-quality client service.

Education:

  • JD degree from an accredited law school.

Certifications:
