Job Description:

Duties:

  • Provide legal counsel and advice on matters related to the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Advise clients on compliance with federal securities laws, particularly for registered funds employing alternative investment strategies such as interval funds, tender offer funds, and Business Development Companies (BDCs).
  • Draft, review, and negotiate legal documents and agreements pertinent to investment management activities.
  • Conduct legal research and analysis on complex regulatory issues affecting investment companies and advisers.
  • Engage in direct client contact to understand their needs, provide solutions, and build lasting relationships.
  • Participate in business development activities to attract new clients and retain existing ones.
  • Collaborate with other attorneys and legal professionals to ensure comprehensive client service.
  • Prepare deal sheets and maintain detailed records of transactions and client interactions.
  • Stay up-to-date with changes in relevant laws and regulations to ensure compliance and provide current advice to clients.

Requirements:

  • 3-5 years of experience in a comparable law firm environment, focusing on investment management and securities law.
  • Demonstrated expertise in matters relating to the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Proven track record of advising on registered funds employing alternative investment strategies, such as interval funds, tender offer funds, and BDCs.
  • Strong business development acumen with the ability to attract and retain clients.
  • Relevant Bar admission (or eligibility to obtain admission promptly).
  • The deal sheet highlights significant transactions and legal work.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Outstanding academic credentials.

Certifications:

  • Admission to the New York State Bar (or eligibility to obtain admission promptly).

Skills:
