Job Overview: A law firm in Washington, DC, is seeking a skilled mid-Senior-Level Capital Markets Associate Attorney to join its team. The ideal candidate will have extensive experience in public and private equity offerings, regulatory compliance, and corporate governance matters.

Duties:

  • Manage and lead public and private equity offerings, including IPOs and follow-on offerings.
  • Draft and review proxy statements and S-4 registration statements for business combination transactions.
  • Interface with the SEC and other regulatory bodies on behalf of clients.
  • Advise public companies on ongoing reporting obligations under the ’34 Act (10-Ks, 10-Qs, 8-Ks, proxy statements).
  • Counsel clients on corporate governance issues and best practices.
  • Retain and expand client relationships through exceptional service and legal counsel.

Requirements:

  • Minimum 4+ years of experience in capital markets law, preferably focusing on public and private equity offerings.
  • Admission to one or more State Bars, with eligibility to practice in Washington, DC.
  • Experience representing both issuers and underwriters is highly desirable.
  • Familiarity with SPACs, REITs, and debt offerings is advantageous.
  • Strong academic background from a reputable law school.
  • Excellent drafting, negotiation, and client management skills.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Bar in one or more jurisdictions, with eligibility for Washington, DC.
