A law firm in Fort Lauderdale is seeking a Corporate Securities Associate Attorney with experience representing issuers in public and private offerings of debt and equity securities, including initial public offerings (IPOs) and follow-on offerings. The ideal candidate will also have additional experience advising pre-IPO and public companies on disclosure, corporate governance, SEC and stock exchange reporting, and compliance matters.

 

Duties:

  • Represent issuers in public and private offerings of debt and equity securities.
  • Assist with initial public offerings (IPOs) and follow-on offerings for both private and public company clients.
  • Counsel pre-IPO and public companies on disclosure requirements, corporate governance best practices, and compliance with SEC and stock exchange regulations.
  • Prepare Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
  • Provide legal advice and support on general corporate matters.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar in Florida (preferred).
  • 2+ years of experience representing private and public company clients in capital market transactions and corporate securities matters.
  • Experience with SEC reporting and compliance requirements.
  • Familiarity with corporate governance principles and best practices.
  • Experience representing foreign private issuers is a plus.

 

Certifications:

Any relevant certifications in securities law or corporate governance are advantageous.

  • Excellent drafting and communication skills.
  • Ability to manage multiple projects and work efficiently under tight deadlines.
