A law firm seeks an experienced Mid-level Transactional Tax Associate Attorney to join its Corporate practice group in Austin, TX. This position involves working with middle-market private equity firms on mergers and acquisitions and handling the transactional tax aspects of these deals. The ideal candidate will have substantial experience in transactional tax matters, including providing tax advice in complex transactions, and a strong corporate taxation background. The role requires a detail-oriented, analytical professional capable of working collaboratively and independently in a fast-paced environment.

Duties

  • Provide tax counsel on mergers, acquisitions, and other corporate transactions in the private equity space.
  • Conduct tax-related legal research and analysis to support transactional matters.
  • Draft, review, and negotiate tax provisions within transaction agreements.
  • Collaborate with corporate attorneys and clients on tax planning strategies.
  • Ensure compliance with federal, state, and international tax laws during complex transactions.
  • Manage multiple tax-related projects simultaneously, meeting deadlines and maintaining high standards of accuracy.
  • Provide strategic advice regarding tax structures, implications, and liabilities related to corporate deals.

Requirements

  • Minimum of 5 years of experience in transactional tax, specifically related to mergers and acquisitions.
  • Prior experience working in an AmLaw 100 law firm or equivalent corporate law environment.
  • Strong understanding of tax laws as they relate to private equity transactions.
  • Proven ability to work independently and collaboratively in a dynamic legal environment.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active admission to the bar in the jurisdiction where the candidate will be practicing (Texas preferred).

  • Excellent analytical and problem-solving skills, with the ability to interpret and apply complex tax laws.
