A distinguished law firm is seeking a Corporate Associate with 3–6 years of experience in middle-market and lower-middle-market M&A and private equity transactions. This role involves working on complex transactions for sophisticated clients across various industries, including consumer products, healthcare, gaming, and hospitality. Duties

  • Handle middle-market and lower-middle-market M&A and private equity transactions
  • Provide strategic legal counsel to clients on corporate and business matters
  • Draft, review, and negotiate transaction documents
  • Conduct due diligence and risk assessment for mergers and acquisitions
  • Collaborate with legal teams and clients to structure and execute deals effectively
  • Maintain strong client relationships and provide ongoing business advisory services

Requirements

  • 3–6 years of experience in corporate law, specifically M&A and private equity transactions
  • Experience with outside general counsel work (preferred but not required)
  • Strong academic performance and a proven track record of success in a law firm setting
  • Ability to work in a dynamic, fast-paced, and collaborative environment

Education

  • Juris Doctor (J.D.) from an accredited law school

Certifications

  • Admission to the Colorado State Bar (preferred)

  • Expertise in corporate transactions, mergers, and acquisitions
  • Excellent legal drafting, negotiation, and analytical skills
