A reputable law firm is seeking an attorney with 3-8 years of experience in corporate transactional work to join its growing Private Equity / Mergers & Acquisitions practice group. This role involves advising clients, including private equity firms, independent sponsors, and private companies, on sophisticated transactions in the lower middle market. The selected candidate will play a key role in private company M&A, particularly in drafting and negotiating purchase agreements and managing aspects of deals under partner supervision.

Advise clients on private company M&A transactions.
Draft and negotiate purchase agreements.
Act as the “second chair” on deals, overseeing key aspects of the transaction under partner supervision.
Collaborate with private equity firms, independent sponsors, family offices, and other investment groups.
Provide business-oriented, risk-adjusted legal advice to achieve client goals and close transactions.
3-8 years of experience in corporate transactional work, particularly private equity and M&A.
Experience in drafting and negotiating purchase agreements for private company M&A.
Ability to run key aspects of a deal under partner supervision.
Strong interpersonal skills and the ability to work collaboratively in a team environment.
Proven ability to provide strategic legal advice in the lower middle market.
Juris Doctor (J.D.) from an accredited law school.
Admission to the New York State Bar is required.
Strong drafting and negotiation skills.
Ability to manage and coordinate multiple aspects of complex transactions.
Excellent verbal and written communication skills.
Strong analytical, project management, and problem-solving abilities.
