Job Overview:
A prestigious law firm is seeking an experienced Investment Management Associate to join its Corporate and Securities Department in the Chicago office. This role presents an exciting opportunity to work with a wide range of clients in the investment company and asset management sector, focusing on registered funds. The ideal candidate will have a strong background in mutual funds, closed-end funds, and exchange-traded funds, with expertise in 1940 Act fund governance. Location:

  • Chicago, IL

Duties:

  • Provide legal advice and counsel regarding open-end funds (mutual funds), closed-end funds, and exchange-traded funds.
  • Work on fund governance matters in compliance with the Investment Company Act of 1940.
  • Assist with regulatory filings, including those related to mutual funds, ETFs, and closed-end funds.
  • Draft, review, and negotiate agreements related to the investment management industry.
  • Collaborate with internal teams and clients to address industry-specific legal and regulatory issues.
  • Handle multiple projects simultaneously and manage client relationships effectively.
  • Conduct legal research and analysis on industry regulations and market issues.
  • Provide strategic counsel to clients on matters relating to fund formation, compliance, and governance.

Requirements:

  • 2 to 6 years of experience in investment company and asset management law, particularly in the registered fund space.
  • Strong experience with the 1940 Act and fund governance matters.
  • Ability to handle multiple projects and meet deadlines in a fast-paced environment.
  • Demonstrated ability to manage complex legal issues and provide practical solutions.
  • Strong interpersonal, communication, analytical, and writing skills.
  • Member in good standing of the Illinois Bar or eligible to waive into the Illinois Bar.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Illinois Bar, or eligibility to waive into the bar.

Skills:

  • Expertise in investment management, with a focus on mutual funds, ETFs, and closed-end funds.
  • Knowledge of the 1940 Act and related fund governance matters.
  • Excellent legal research, writing, and drafting skills.
  • Strong organizational skills and the ability to manage competing priorities.
  • Ability to interact effectively with clients and colleagues at all levels.
  • Strong analytical skills and attention to detail.
