Duties:

  • Represent clients in complex corporate transactions, including mergers and acquisitions, financings, corporate governance, and securities matters.
  • Collaborate with partners and senior associates on both US and international M&A transactions.
  • Draft, review, and negotiate transactional documents, including contracts, agreements, and other legal documents.
  • Provide strategic legal advice to clients, assisting with decision-making on complex business matters.
  • Engage directly with clients and maintain strong working relationships.
  • Contribute to team-oriented goals, supporting the firm’s high standards of client service and legal excellence.

Requirements:

  • 3-5 years of experience in corporate law, with a focus on M&A, securities, and related transactions.
  • Experience handling complex commercial matters and working with clients on mergers, acquisitions, and corporate governance issues.
  • Strong document drafting, communication, and interpersonal skills.
  • Ability to work well in a team environment and collaborate with senior attorneys.
  • Positive attitude and strong work ethic, with a desire to contribute to a growing practice.
  • Good standing with the Bar in the jurisdiction where admitted to practice, with timely admission to the Texas Bar required upon hire.

Education:

  • Juris Doctor (J.D.) from an ABA-accredited law school.

Certifications:

  • Admission to the Bar in at least one jurisdiction, with Texas Bar admission required upon employment.

Skills:

  • Strong legal research, drafting, and negotiation abilities.
  • Excellent communication skills, both written and verbal.
  • Ability to handle complex legal matters with attention to detail.
  • Strong interpersonal skills for direct client interaction and team collaboration.
  • Ability to prioritize tasks effectively and manage multiple projects simultaneously.
