A law firm in Roseland, NJ, is seeking a Senior Corporate M&A Associate Attorney with 5+ years of sophisticated experience in mergers and acquisitions (M&A) transactions, corporate governance, and related areas. The ideal candidate will play a crucial role in advising clients on complex M&A transactions, ensuring compliance with relevant laws, providing strategic legal counsel, and collaborating closely with the corporate team. This role demands a highly skilled professional with strong negotiation and drafting abilities, as well as a proactive, self-motivated approach to problem-solving.

Duties:

  • Provide expert legal advice and counsel on a wide variety of corporate and commercial matters, including M&A transactions, business formations, governance, compliance, and contracts.
  • Offer legal support throughout the entire transaction lifecycle, from initial due diligence to post-closing integration.
  • Draft, review, and negotiate a range of M&A-related agreements, such as purchase agreements, shareholder agreements, and merger agreements.
  • Oversee and manage transaction documents and agreements, maintaining comprehensive and accurate records of all legal documents and correspondence.
  • Collaborate with clients to understand their strategic objectives and provide legal advice that aligns with their business goals.
  • Work collaboratively with internal teams and partners to deliver comprehensive legal services to clients.
  • Ensure compliance with relevant laws and regulations throughout all phases of transactions.
  • Develop and implement strategic legal solutions to complex business issues.
  • Maintain up-to-date knowledge of market trends and legal developments impacting M&A and corporate governance.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Bar admission in New Jersey; admission to the New York Bar is a plus.
  • 5+ years of sophisticated experience in M&A transactions, corporate governance, or related legal areas, preferably from a reputable BigLaw firm.
  • Excellent negotiation, drafting, and communication skills.
  • Strong analytical and critical thinking abilities.
  • Ability to work under pressure to meet strict deadlines and manage multiple projects simultaneously.
  • Strong commercial and business acumen with a track record of delivering creative and pragmatic solutions.
  • Exceptional interpersonal skills and the ability to build and maintain strong client relationships.
  • Proficiency in Microsoft Office and various document management software.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Bar admission in New Jersey; New York Bar admission is a plus.
