Job Overview:

A law firm seeks highly skilled Mergers and Acquisitions Associate Attorneys with substantial experience in leading due diligence, drafting ancillary agreements, and managing all facets of transactional processes. The ideal candidates will have demonstrated expertise in drafting primary deal documents and maintaining client relations.

Duties:

  • Lead due diligence efforts and analyze findings for mergers and acquisitions transactions.
  • Draft and negotiate ancillary agreements, including but not limited to non-disclosure agreements, transition services agreements, and employment agreements.
  • Prepare and review primary transaction documents such as asset purchase agreements, stock purchase agreements, and merger agreements.
  • Interface directly with clients to provide strategic legal advice and manage expectations throughout the transaction lifecycle.
  • Conduct legal research and provide analysis on complex transactional issues.
  • Collaborate with partners and senior associates to structure transactions and ensure compliance with regulatory requirements.

Requirements:

  • Experience: 2-6 years of mergers and acquisitions experience in a reputable law firm environment.
  • Bar Admission: Admitted to the New York Bar.
  • Credentials: Excellent academic credentials from a top-tier law school.
  • Skills:
    • Proficiency in leading due diligence processes and drafting complex transactional documents.
    • Strong negotiation skills and ability to manage client relationships effectively.
    • Sound judgment and analytical thinking to navigate complex legal issues.
    • Excellent written and verbal communication skills.
    • Ability to work independently and as part of a collaborative team.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • Strong leadership capabilities in managing due diligence and drafting ancillary agreements.
  • Proficiency in drafting primary transaction documents and advising clients on legal matters.
