Job Overview

A law firm seeks a mid-level associate with a strong background in technology transactions, intellectual property (IP) licensing, and digital media. This is an exciting opportunity for an attorney with at least three years of relevant experience to join a growing, high-caliber team in one of the firm's offices, including New York, Silicon Valley, San Francisco, Washington D.C., or Santa Monica. The successful candidate will play a key role in handling complex technology transactions for prominent clients in the technology, life sciences, and consumer industries.

Duties

  • Advise clients on a wide range of technology transactions, including licensing, IP, and digital media agreements.
  • Support mergers and acquisitions (M&A) transactions, with a focus on technology and corporate aspects.
  • Assist in the negotiation, drafting, and review of commercial contracts and content distribution agreements.
  • Collaborate closely with corporate, litigation, and IP teams to manage transactions and corporate matters.
  • Worked with both domestic and international clients, providing strategic advice on intellectual property issues and technology deals.
  • Stay informed on legal developments in the technology sector, particularly regarding IP rights, content licensing, and digital media.

Requirements

  • Minimum of three (3) years of experience in technology transactions, IP licensing, and related fields.
  • Strong experience with technology aspects of corporate transactions, including M&A.
  • In-depth knowledge of digital media, consumer technology, and life sciences sectors.
  • Prior law firm experience is preferred, though in-house candidates with relevant law firm experience will also be considered.
  • Must be barred in the state of the office where the application is being submitted or eligible to sit for the next bar exam.
  • Superior academic credentials.
  • Excellent oral, written, and interpersonal communication skills.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Admission to the bar in the state of the office location or eligibility to sit for the next bar exam.

Skills

  • Expertise in technology transactions, IP licensing, and commercial contracts.
  • Strong knowledge of corporate transactions, particularly in relation to technology and M&A.
  • Ability to manage complex legal matters and collaborate across multiple legal disciplines.
  • Excellent negotiation, drafting, and analytical skills.
  • Ability to effectively communicate complex legal concepts to clients and colleagues.
