A law firm in San Francisco, CA, is seeking a highly skilled M&A and Private Equity Associate Attorney with 4-6 years of experience. The ideal candidate will have significant experience in mergers and acquisitions within a law firm setting, a proactive approach, and a commitment to providing exceptional legal service. The candidate should possess strong academic credentials, excellent communication skills, and the ability to manage complex transactions. This position offers the opportunity to work on high-profile deals while collaborating with top industry professionals.

Key Responsibilities:

  • Provide legal counsel on mergers, acquisitions, dispositions, joint ventures, and other strategic transactions for clients, including private equity firms and public/private companies.
  • Draft, review, and negotiate key transaction documents such as purchase agreements, shareholder agreements, and investment agreements.
  • Lead and coordinate due diligence processes, including identifying and assessing risks, and advising clients on potential implications.
  • Work closely with other legal teams, including tax, finance, and regulatory experts, to ensure successful deal execution.
  • Advise clients on deal structuring, risk management, and transaction strategy to achieve optimal outcomes.
  • Assist with post-closing matters, including integration planning and execution.
  • Serve as the primary contact for client communications, managing expectations and providing timely updates.
  • Maintain awareness of relevant legal and regulatory changes that may impact M&A and private equity transactions.
  • Contribute to the firm’s business development efforts through client meetings, thought leadership, and networking activities.
  • Mentor and train junior associates, providing guidance and support for their professional development.

Requirements:

  • 4-6 years of law firm experience in mergers and acquisitions, with additional experience in private equity transactions being highly desirable.
  • Proven ability to manage complex M&A deals from inception to closing.
  • Strong understanding of corporate governance, securities laws, and regulatory compliance relevant to M&A transactions.
  • Excellent drafting, negotiation, and analytical skills, with the ability to produce high-quality work under tight deadlines.
  • Superior communication skills, including the ability to explain complex legal concepts to clients and colleagues clearly.
  • Ability to thrive in a fast-paced environment, managing multiple priorities with a high degree of organization and attention to detail.
  • Exceptional client relationship skills, with a focus on delivering practical and business-oriented solutions.
  • Active membership in good standing with the California State Bar (or eligibility for admission).

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the California State Bar is required.
