Corporate Mergers & Acquisitions Associate Attorney

A law firm in Boulder, CO is seeking a Corporate Mergers & Acquisitions Associate Attorney to join its team. The successful candidate will have 3-6 years of experience in corporate law, with a focus on mergers & acquisitions. This role requires leading due diligence teams, managing specialists, and drafting transaction documents. The ideal candidate will possess excellent writing skills, superior academic credentials, and the ability to handle multiple assignments with minimal supervision.

Duties and Responsibilities:

• Lead and coordinate due diligence teams for mergers, acquisitions, and other corporate transactions.
• Draft, review, and negotiate transaction documents, including purchase agreements, merger agreements, and ancillary documents.
• Manage and collaborate with specialists such as tax advisors, financial consultants, and regulatory experts.
• Provide legal advice on corporate governance, compliance, and risk management.
• Assist in structuring and executing transactions, including venture capital investments and corporate restructuring.
• Conduct legal research and analysis to support transaction strategies and client advice.
• Maintain and update knowledge of relevant laws and industry trends to ensure best practices in M&A transactions.
• Communicate effectively with clients, internal teams, and external parties.

Requirements:

• 3-6 years of experience in corporate law, with specific experience in mergers & acquisitions, venture capital, and corporate governance.
• Proven experience in leading due diligence processes and drafting complex transaction documents.
• Excellent writing, analytical, and communication skills.
• Strong academic background with a JD degree from an accredited law school.
• Ability to manage multiple assignments and work independently with minimal supervision.
• Proven track record of working effectively under pressure and meeting tight deadlines.

Education:

Certifications:

• Admission to the Bar in the state of Colorado.
