Duties and Responsibilities:

  • Lead and coordinate due diligence teams for mergers, acquisitions, and other corporate transactions.
  • Draft, review, and negotiate transaction documents, including purchase agreements, merger agreements, and ancillary documents.
  • Manage and collaborate with specialists such as tax advisors, financial consultants, and regulatory experts.
  • Provide legal advice on corporate governance, compliance, and risk management.
  • Assist in structuring and executing transactions, including venture capital investments and corporate restructuring.
  • Conduct legal research and analysis to support transaction strategies and client advice.
  • Maintain and update knowledge of relevant laws and industry trends to ensure best practices in M&A transactions.
  • Communicate effectively with clients, internal teams, and external parties.

Requirements:

  • 3-6 years of experience in corporate law, with specific experience in mergers & acquisitions, venture capital, and corporate governance.
  • Proven experience in leading due diligence processes and drafting complex transaction documents.
  • Excellent writing, analytical, and communication skills.
  • Strong academic background with a JD degree from an accredited law school.
  • Ability to manage multiple assignments and work independently with minimal supervision.
  • Proven track record of working effectively under pressure and meeting tight deadlines.
