Job Overview:

A law firm is seeking a CFIUS and International Trade/Export Controls Associate Attorney with 2-4 years of experience to join their team in Portland, OR. The ideal candidate will have expertise in international trade regulatory compliance and enforcement, focusing on CFIUS, U.S. export controls, and ITAR. A strong understanding of DPAS is preferred. The candidate must be admitted and actively barred in Oregon.

Key Responsibilities:

  • Advise clients on regulatory and compliance matters related to CFIUS, U.S. export controls, and ITAR.
  • Prepare and submit filings to CFIUS and other relevant U.S. government agencies.
  • Conduct due diligence on international trade transactions, particularly those involving foreign investments.
  • Provide counsel on the Defense Priorities & Allocation System (DPAS) and related U.S. government procurement requirements.
  • Represent clients in enforcement proceedings related to international trade and export control violations.
  • Collaborate with cross-functional teams to assess risks and develop strategies for international trade compliance.
  • Monitor and analyze changes in international trade regulations, including updates from the Bureau of Industry and Security (BIS) and the Directorate of Defense Trade Controls (DDTC).
  • Assist in developing and maintaining internal compliance programs for clients, including training materials and manuals.
  • Conduct internal investigations into potential export control violations and provide legal recommendations.

Requirements:

  • 2-4 years of experience handling international trade regulatory compliance, with a focus on CFIUS, U.S. export controls, and ITAR.
  • Proven ability to prepare and file CFIUS submissions and manage related processes.
  • Experience advising on and interpreting U.S. export control regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR).
  • Familiarity with DPAS and its application to government contracts and procurement is preferred.
  • Strong analytical skills with the ability to identify legal risks in international trade transactions.
  • Excellent written and verbal communication skills for client interactions and government submissions.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to and active status with the Oregon State Bar.

Skills:

  • Deep understanding of international trade laws, U.S. export controls, and the CFIUS process.
  • Ability to work effectively under pressure and manage multiple projects with tight deadlines.
  • Excellent research and drafting skills.
