Job Overview:
A prestigious law firm is seeking a junior associate attorney to join its Investment Management and Financial Services Practice in Philadelphia. This role involves working on sophisticated and diversified legal matters for clients including banks, financial institutions, transfer agents, funds, advisers, and institutional investors. The ideal candidate should have experience with private and registered fund formation, alternative structures, and a working knowledge of federal securities laws, particularly those applicable to investment companies and investment advisers.

Location:

  • Philadelphia, PA

Duties:

  • Provide legal counsel on investment vehicle formation, management, and regulatory compliance

  • Advise on financial services transactions and operational support matters

  • Draft and negotiate services agreements related to investment management and asset servicing

  • Support institutional banking and investment servicing providers throughout the investment lifecycle

  • Collaborate with clients on compliance matters involving investment advisers, broker-dealers, and financial institutions

  • Conduct legal research and analysis on federal securities laws and industry regulations

Requirements:

  • Minimum of 2 years of experience at a law firm, financial institution, or regulatory agency with demonstrated financial services expertise

  • Strong client management skills and ability to develop and maintain relationships

  • Excellent drafting and negotiation skills

  • Ability to multi-task, manage time effectively, and meet deadlines

  • Strong work ethic, problem-solving abilities, and willingness to learn

Education:

  • Juris Doctor (JD) from an accredited law school

  • Strong academic background preferred

Certifications:

  • Admission to practice law in Pennsylvania

Skills:
