Job Overview: A prestigious law firm is seeking an associate with extensive experience in capital markets to join its Corporate Capital Markets team in New York. Duties:

  • Advise clients on U.S. securities offerings, including public and private equity offerings, debt offerings, and related capital markets transactions.
  • Draft and review offering documents, including prospectuses, registration statements, and securities filings.
  • Assist with compliance matters related to securities law and regulations.
  • Collaborate with senior attorneys in structuring and executing capital markets transactions.
  • Liaise with clients and assist in providing strategic legal advice regarding capital markets matters.
  • Stay current with relevant changes in securities law and market trends.

Requirements:

  • 3-6 years of experience in capital markets, with a focus on U.S. securities offerings.
  • Strong understanding of securities laws, including the Securities Act of 1933, the Securities Exchange Act of 1934, and related regulations.
  • Proven experience in drafting and reviewing capital markets offering documents and SEC filings.
  • Ability to manage complex projects and transactions with minimal supervision.
  • Strong communication skills, both written and verbal.
  • Attention to detail with the ability to handle multiple tasks under tight deadlines.
  • Admission to the New York State Bar or eligibility for admission.

Education:

  • J.D. from an accredited law school (Class years 2019–2022 preferred).

Certifications:

  • Admission to the New York State Bar or eligibility to apply.

Skills:

  • Expertise in capital markets transactions, particularly U.S. securities offerings.
  • Strong drafting and negotiation skills.
  • In-depth knowledge of securities laws and regulations.
  • Ability to manage complex projects and work independently.
