Job Overview: A law firm in Charlotte, NC, is seeking a Senior Corporate/Mergers And Acquisitions Associate Attorney with a minimum of 5 years of experience in corporate law and mergers and acquisitions. The ideal candidate will play a key role in handling complex transactions and advising clients on various corporate matters.

Job Duties:

  • Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and related agreements.
  • Manage and coordinate due diligence reviews for mergers and acquisitions transactions.
  • Provide counsel on partnership agreements, joint ventures, and limited liability company operating agreements.
  • Assume substantial responsibility for closing mergers and acquisitions and related transactions.
  • Advise clients on general corporate/entity matters and business issues.
  • Collaborate closely with senior attorneys to handle client matters and gain mentorship.
  • Work independently and as part of a team to meet client needs and transaction deadlines.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of North Carolina or eligibility for admission via reciprocity.
  • Minimum of 5 years of experience in corporate law and mergers and acquisitions.
  • Experience with private equity transactions preferred.
  • Strong academic credentials and excellent communication skills.
  • Commitment to delivering high-quality client service.
