Job Overview:
A reputable law firm based in New York City is seeking a skilled Junior to Mid-Level Associate for their Capital Markets Group. This full-time position offers an opportunity to work with a diverse range of clients from various industries, handling complex public and private equity and debt offerings, SEC filings, and corporate governance matters. The role will involve close collaboration with a dynamic team, where the ideal candidate will bring a blend of technical legal expertise and client management skills.

Duties:

  • Advise clients on public and private equity and debt offerings, including IPOs and follow-on offerings.
  • Manage proxy statements, S-4 registration statements, and business combination transactions.
  • Interface with the SEC and other regulatory bodies, ensuring compliance with applicable laws.
  • Assist in ongoing reporting requirements for public companies, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Provide day-to-day legal counsel to public companies on corporate governance issues.
  • Work with both issuers and underwriters, guiding their capital market transactions.
  • Draft and negotiate transaction documents while maintaining high attention to detail.

Requirements:

  • 3-5 years of experience in capital markets, focusing on public and private equity and debt offerings.
  • Familiarity with SEC filings and ongoing reporting obligations under the ’34 Act for public companies.
  • Experience in business combination transactions, including IPOs, follow-on offerings, and proxy statements.
  • Strong client management, drafting, and negotiation skills.
  • Ability to grow and retain client relationships.
  • Admission to the New York Bar.

Education:

  • A Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in the New York State Bar.

Skills:

  • Exceptional legal drafting and negotiation skills.
  • Strong understanding of capital markets regulations.
  • Excellent client-facing skills and the ability to manage multiple clients.
  • Detail-oriented with the ability to handle complex transactions.
  • Strong communication skills, both verbal and written.
