Job Overview:

A law firm is seeking a Mid-to-Senior Associate Attorney with significant experience advising private foundations and charitable organizations on complex legal and tax issues. The attorney will play a critical role in advising a diverse portfolio of clients, including private foundations, public charities, donors, and tax-exempt organizations, on legal, tax compliance, governance, and transactional matters.

Key Responsibilities:

  • Provide legal advice to private foundations and charitable organizations on intricate legal and tax issues.
  • Form nonprofit corporations and charitable trusts, and obtain tax-exempt status under IRS rules.
  • Counsel private foundations on grant agreements, tax compliance, succession planning, and fiduciary responsibilities.
  • Advise philanthropists on structuring charitable gifts and managing donor-advised funds.
  • Guide large 501(c)(3) organizations on corporate governance, tax exemption issues, unrelated business taxable income (UBTI), and compliance matters.
  • Structure and advise on mergers, affiliations, and joint ventures involving tax-exempt entities.
  • Assist in creating complex structures involving both for-profit and non-profit entities.
  • Represent tax-exempt organizations during federal and state audits involving tax and charitable issues.
  • Collaborate with multidisciplinary teams within the firm, including tax, corporate, and estate planning groups, to deliver comprehensive client solutions.
  • Stay updated on relevant legal developments impacting tax-exempt organizations and philanthropy laws.

Qualifications and Requirements:

  • Experience:

    • Experience advising tax-exempt organizations, private foundations, and philanthropists on complex legal and tax issues.
    • Significant experience with IRS tax-exempt status applications and compliance matters.
    • Expertise in handling complex nonprofit transactions such as mergers, affiliations, and joint ventures.
    • Experience representing clients in IRS audits and state regulatory inquiries related to tax and charitable matters.
  • Education:

    • Juris Doctor (JD) degree from an accredited law school.
    • Active membership in the State Bar of Massachusetts or ability to become licensed within a reasonable time frame.

Skills:

  • In-depth understanding of federal and state tax laws affecting tax-exempt organizations.
  • Strong knowledge of corporate governance, charitable giving structures, UBTI, and nonprofit compliance requirements.
  • Excellent legal research, drafting, and negotiation skills.
  • Ability to work independently and manage multiple client relationships and matters.
  • Strong interpersonal and communication skills to collaborate with a diverse client base, including philanthropists, nonprofit leaders, and other stakeholders.
  • High attention to detail and a proactive problem-solving mindset.
