Job Overview:

A prominent law firm is seeking a mid-level associate to join its Life Sciences corporate team in New York. The ideal candidate will have 3-5 years of experience handling a variety of corporate and transactional matters. The team focuses on corporate transactions for high-growth life sciences, healthcare, and technology companies in the U.S., Asia, and globally. The role involves working with venture-backed companies through transactions such as equity financing, IPOs, M&A, and corporate governance. While prior experience with life sciences companies is preferred, the firm is open to candidates with a strong corporate background and an interest in life sciences work.

Location:

  • New York City, NY

Duties:

  • Work on corporate transactions for life sciences, healthcare, and technology companies, including equity financing, IPOs, M&A, and corporate governance.
  • Advise venture-backed private and public companies on a range of corporate matters.
  • Manage substantial components of transactions independently while collaborating with senior attorneys and teams.
  • Assist with public company work, including ongoing SEC representation and compliance.
  • Conduct due diligence and provide strategic guidance on complex corporate matters.
  • Draft, review, and negotiate transaction documents, including agreements related to financing, mergers, and governance.
  • Build and maintain relationships with clients and work directly with them on corporate matters.

Requirements:

  • 3-5 years of experience in corporate and transactional matters.
  • Experience with public company work, including SEC representation, is preferred.
  • Prior experience with life sciences companies is a plus, but not required.
  • Strong experience working in teams and independently managing transactions.
  • Exceptional academic credentials.
  • Excellent written and verbal communication skills.
  • Bar admission (or eligibility to obtain admission promptly) in the jurisdiction where the position is based.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to the bar in the jurisdiction where the position is based, or eligibility to obtain admission promptly.

Skills:

  • Expertise in corporate transactional matters, including M&A, equity financing, and IPOs.
  • Strong knowledge of corporate governance and securities law.
  • Ability to manage and execute significant portions of transactions independently.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work effectively both in teams and independently.
  • Strong client relationship-building and management skills.
  • Interest in life sciences is highly preferred but not required.
