A law firm in Boston is seeking a motivated Junior Corporate Associate Attorney with 2-3 years of experience. The ideal candidate will have a background in start-ups, emerging growth companies, venture capital financings, private equity, and possibly mergers & acquisitions. This role offers significant client interaction opportunities, requiring comfort in communicating with CEOs, Boards of Directors, and venture fund general partners.

Duties and Responsibilities:

  • Provide legal counsel and support to clients on corporate matters including entity formation, governance, and financing transactions.
  • Draft and negotiate agreements related to seed and venture capital financings, private equity investments, and mergers & acquisitions.
  • Conduct due diligence reviews and analysis in connection with transactions.
  • Assist with corporate filings and compliance matters.
  • Manage and coordinate legal projects and transactions under the supervision of senior attorneys.
  • Maintain communication and collaboration with clients to understand and address their legal needs effectively.
  • Research and analyze complex legal issues and provide clear recommendations to clients.

Requirements:

  • JD from an accredited law school.
  • Admission to the Massachusetts Bar (or ability to waive in).
  • 2-3 years of experience in corporate law, with a focus on start-ups, venture capital, and/or private equity transactions.
  • Previous experience at a large law firm preferred.
  • Strong understanding of corporate governance, financing structures, and transactional processes.
  • Excellent written and oral communication skills, with the ability to interact professionally with clients and colleagues.
  • Detail-oriented with strong analytical and problem-solving skills.

Education and Certifications:

  • JD from an accredited law school.
  • Admission to the Massachusetts Bar (or ability to waive in).

Skills:

  • Experience with start-ups, emerging growth companies, venture capital financings, and/or private equity transactions.
  • Strong drafting and negotiation skills.
  • Ability to manage multiple priorities and deadlines effectively.
  • Proficiency in legal research and analysis.
