Job Overview:

A distinguished law firm based in Newark, NJ, is seeking a mid-level Tax Associate Attorney with expertise in federal transactional tax matters. This role involves advising on mergers and acquisitions, entity structuring, and other business transactions. The ideal candidate will have strong legal acumen and exceptional communication skills.

Duties:

  • Advise clients on federal tax aspects of mergers, acquisitions, and other business transactions
  • Structure transactions and guide entity formation, including choice of entity considerations
  • Draft and negotiate partnership agreements and other related legal documents
  • Conduct legal research and analysis to support tax planning and compliance
  • Collaborate with corporate attorneys and other legal professionals to provide comprehensive counsel
  • Stay updated on tax regulations and developments affecting business transactions

Requirements:

  • Minimum of 3 years of relevant experience in transactional tax matters
  • Strong background in M&A tax, entity structuring, and general business transactions
  • Experience drafting and negotiating partnership agreements is preferred
  • Excellent communication, analytical, and legal writing skills
  • Ability to work effectively in a collaborative legal environment

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Admission to practice law in at least one of the following jurisdictions: California, Florida, Illinois, Massachusetts, New Jersey, New York, Pennsylvania, Ohio, Oregon, Tennessee, or Washington, DC
