Job Description

Duties:

  • Advise clients on a wide range of M&A and private equity transactions.
  • Draft, review, and negotiate complex transaction documents, including merger agreements, asset purchase agreements, stock purchase agreements, and joint venture agreements.
  • Conducted and coordinated due diligence investigations, including managing and reviewing materials.
  • Structure transactions and provide strategic advice on transaction planning and execution.
  • Collaborate with other practice groups within the firm, such as tax, finance, and employment, to provide comprehensive legal services to clients.
  • Managed and supervised junior associates and support staff on various transaction-related tasks.
  • Assist clients in navigating regulatory requirements and compliance issues related to M&A and private equity transactions.
  • Participate in client meetings, negotiations, and presentations.
  • Stay current on industry trends and legal developments relevant to M&A and private equity.

Requirements:

  • 3-4 years of Mergers, Acquisitions, and Private Equity experience in a major law firm.
  • Membership to the NY State Bar is required.
  • Strong understanding of corporate law, securities law, and regulatory requirements for M&A and private equity transactions.
  • Demonstrated ability to manage multiple projects and clients in a fast-paced environment.
  • Proven track record of effective client relationship management.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Excellent academic credentials.

Certifications:

  • Active membership in good standing with the New York State Bar.

Skills:
