A law firm is seeking an experienced Corporate Associate Attorney/Of Counsel to join their Palo Alto office. The ideal candidate will have substantial experience in advising companies through various stages of growth, including start-ups, venture capital phases, IPOs, and equity capital markets, as well as public company reporting and M&A transactions. The candidate should have a keen interest in the dynamic world of life sciences.

 

Key Responsibilities:

  • Advise companies from start-up and venture capital phases through to IPOs and equity capital markets.
  • Assist clients with public company reporting and compliance.
  • Manage and execute M&A transactions.
  • Provide legal guidance and support to clients in the life sciences sector, including biotech, genomics, pharma, therapeutics, and AI drug discovery.
  • Conduct due diligence and draft and negotiate transactional documents.
  • Collaborate with clients to develop and implement business strategies and solutions.
  • Stay abreast of industry trends and regulatory changes impacting the life sciences sector.
  • Engage in client development activities to maintain and grow client relationships.

 

Requirements:

  • 6+ years of experience for an associate or of counsel position.
  • Expertise in advising companies in the life sciences sector, including biotech, genomics, pharma, therapeutics, and AI drug discovery.
  • Proven track record in start-ups, venture capital, IPOs, equity capital markets, public company reporting, and M&A transactions.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Bar Admission in California is required.
