A law firm in New York City is seeking a Mid-Level Capital Markets Associate Attorney with 3-5 years of experience to join their premier global practice. The ideal candidate will have significant experience advising issuers and underwriters on equity and debt capital markets transactions, including IPOs, and providing counsel on SEC reporting, financings, and general corporate matters. Strong academic credentials, client management skills, and a drive for achievement are required. Experience with an AmLaw 50 firm is preferred.

Duties:

  • Advise issuers and underwriters on equity and debt capital markets transactions, including initial public offerings (IPOs) and follow-on offerings.
  • Provide legal counsel to public and private companies on SEC reporting requirements and compliance.
  • Assist with the structuring and execution of financing transactions, including debt offerings and equity placements.
  • Draft and review transaction documents, including registration statements, prospectuses, and underwriting agreements.
  • Collaborate with clients and other stakeholders to develop and implement effective transaction strategies.
  • Manage and oversee due diligence processes, ensuring thorough and accurate documentation.
  • Counsel clients on general corporate matters, including corporate governance and compliance issues.
  • Maintain up-to-date knowledge of capital markets trends, regulatory developments, and industry practices.

Requirements:

  • 3-5 years of experience in capital markets, including advising on equity and debt transactions and IPOs.
  • Strong achievement drive with demonstrated success in capital markets matters.
  • Excellent academic credentials.
  • Strong client management and communication skills.
  • Relevant law firm experience from an AmLaw 50 firm is preferred.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Admission to practice law and in good standing in New York (or eligibility to transfer or become admitted).

Skills:

  • Expertise in equity and debt capital markets transactions, including IPOs.
  • Strong knowledge of SEC reporting requirements and corporate finance.
  • Excellent document drafting and transaction management skills.
  • Strong client management abilities with a focus on achieving client objectives.
  • Superior analytical and problem-solving skills.
  • Ability to manage multiple complex projects and meet deadlines.
  • Strong communication skills, both written and oral.
