The role involves handling high-profile projects related to renewable energy, energy storage, and power generation technologies, and participating in various M&A transactions, including acquisitions, joint ventures, and project divestitures.

Job Description:

Duties:

  • Advise clients on a variety of energy transactions, including mergers and acquisitions, joint ventures, and project development.
  • Draft, review, and negotiate complex transaction documents, including purchase agreements, joint venture and joint development agreements, and development services agreements.
  • Conduct thorough due diligence for projects M&A deals, including reviewing project development documents and conducting legal research.
  • Collaborate with internal and external stakeholders, including clients and colleagues in various specialty areas such as tax, regulatory, and real estate.
  • Stay updated on industry trends and changes in project development, M&A, and finance law.
  • Offer assistance on other legal matters concerning project development and M&A as needed.

Requirements:

  • 3-7 years of experience in projects M&A, with a focus on energy transactions preferred.
  • Experience in law firm mergers & acquisitions or project finance, ideally in a sophisticated national law firm environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the Texas State Bar or ability to become admitted to the Texas Bar.

Skills:

  • Strong understanding of domestic and international business transactions, particularly in the energy sector.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to conduct thorough due diligence and legal research.
  • Strategic thinker with strong analytical and problem-solving abilities.
