A law firm seeks an experienced Tax & Benefits Attorney to support complex corporate transactions, including mergers, reorganizations, acquisitions, and other financial operations. This role involves providing legal services to design, implement, and oversee employee benefits plans, including ESOPs and other plans governed by ERISA.

Duties

  • Advise on corporate transactions, including mergers, acquisitions, and reorganizations.
  • Provide guidance on the structuring and implementation of employee benefit plans and ESOPs.
  • Collaborate with clients and internal teams to manage complex, multi-faceted projects.
  • Deliver strategic legal advice to support business objectives and regulatory compliance.
  • Engage in business development and client relationship building to strengthen firm connections.
  • Participate in firm initiatives and provide mentorship to junior staff as needed.
  • Work on pro bono and public service cases, supporting underserved communities.

Requirements

  • Experience: 10+ years as a corporate or transactional attorney, with demonstrated success in high-stakes deals and acquisitions.
  • Skills: Strong analytical and organizational abilities; sound business judgment and strategic thinking.
  • Collaboration: Proven ability to work effectively within cross-disciplinary teams.
  • Professionalism: High level of discretion, tact, and strong communication skills.
  • Additional Expertise: Experience with ESOPs is beneficial; Tax LL.M. and a portable client base are advantageous but not required.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active law license.
