Job Overview

A law firm in Washington, DC, is seeking a skilled and experienced Capital Markets Associate Attorney with 4-7 years of capital markets experience. The ideal candidate will have a proven track record of representing issuers, underwriters, and placement agents in various securities offerings. Experience with permanent capital and M&A transactions, particularly in the life sciences industry, is desirable. Considerable law firm experience is required for this role.

Duties and Responsibilities

  • Represent issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings.
  • Ensure compliance with reporting requirements under the 1933 Act and 1934 Act.
  • Draft and review registration statements, prospectuses, and other offering documents.
  • Advise clients on capital markets regulations, securities laws, and corporate governance.
  • Participate in due diligence processes and manage disclosure obligations.
  • Assist in mergers and acquisitions transactions related to capital markets.
  • Provide legal counsel on matters related to permanent capital and financing strategies.
  • Collaborate with other attorneys and stakeholders on complex capital markets matters.
  • Stay current with developments in securities law and capital markets trends.

Requirements

  • 4-7 years of experience in capital markets law.
  • Demonstrated experience representing issuers, underwriters, and placement agents.
  • Knowledge of compliance and reporting requirements under the 1933 and 1934 Act.
  • Experience with permanent capital and M&A transactions is advantageous.
  • Familiarity with the life sciences industry is a plus.
  • Prior experience working in a large law firm setting is required.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Admission to the Bar in the state of Washington, DC.

  • Strong understanding of capital markets regulations and securities laws.
  • Excellent drafting, analytical, and communication skills.
  • Ability to manage complex transactions and client relationships effectively.
