A law firm in New York City, NY, is seeking a Private Funds Associate Attorney with 5-7 years of experience in fund formation and investment in private equity, real estate, credit, and other illiquid asset classes. The ideal candidate will have significant experience advising clients on all aspects of fund formation, structuring, and capital raising. Outstanding academic credentials and law firm experience are required.

Duties:

  • Advise clients on the formation, structuring, and management of private equity, real estate, credit, and other private funds.
  • Provide legal guidance on fund formation, including drafting and negotiating fund documentation.
  • Assist with capital raising activities, including preparation of offering materials and compliance with relevant regulations.
  • Handle complex legal issues related to fund formation, including tax, regulatory, and compliance matters.
  • Collaborate with clients, fund managers, and other stakeholders to develop and implement fund strategies.
  • Conduct legal research and analysis to support fund structuring and investment activities.
  • Manage multiple projects and provide strategic legal advice throughout the fund lifecycle.

Requirements:

  • 5-7 years of experience in private funds law, including fund formation, structuring, and capital raising.
  • Experience with private equity, real estate, credit, or other illiquid asset classes.
  • Outstanding academic credentials and law firm experience.
  • Proven ability to handle complex legal issues and provide comprehensive legal advice.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Admission to or eligibility for admission to the New York Bar.

Skills:

  • Expertise in private funds formation and structuring, including investment in private equity, real estate, and credit.
  • Strong document drafting and negotiation skills.
  • Excellent legal research, analytical, and problem-solving abilities.
  • Ability to manage complex legal issues and provide strategic advice.
