Job Overview:
A prominent law firm is seeking an experienced Executive Compensation & Employee Benefits Associate to join its team. The ideal candidate will have between 2 and 7 years of experience in executive compensation, employee benefits, and related areas. This position provides an opportunity to work on complex matters, including large change-in-control transactions such as public and private equity transactions, bankruptcies, asset sales, IPOs, and financings. Experience representing public companies in the disclosure of executive compensation is preferred.

Duties:

  • Provide legal support on complex executive compensation and employee benefits matters.
  • Advise clients on the design, implementation, and compliance of executive compensation plans and employee benefits programs.
  • Assist with executive compensation issues in connection with large transactions, including IPOs, bankruptcies, asset sales, and financings.
  • Work on change-in-control transactions and related governance issues.
  • Represent public companies in the disclosure of executive compensation.
  • Draft and review executive compensation agreements, employment agreements, and other related documents.
  • Advise clients on compliance with tax, securities, and ERISA regulations.
  • Stay up-to-date on changes in the law and industry trends affecting executive compensation and employee benefits.
  • Work collaboratively with other attorneys and legal professionals on matters related to executive compensation.
  • Manage client relationships and provide strategic advice on compensation and benefits issues.

Requirements:

  • 2 to 7 years of experience in executive compensation, employee benefits, or a related field.
  • Experience working on large-scale transactions, including change-in-control matters.
  • Strong understanding of executive compensation structures and related tax, securities, and ERISA regulations.
  • Proven ability to draft and negotiate complex executive compensation and benefits agreements.
  • Strong analytical, research, and problem-solving skills.
  • Ability to work independently and collaboratively within a team environment.
  • Excellent written and oral communication skills.
  • Strong client management skills with the ability to build and maintain relationships.
  • Detail-oriented with the ability to handle complex legal and regulatory matters.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the New York State Bar (or willingness to obtain).

Certifications:

  • None required, but certification in executive compensation or employee benefits is a plus.

Skills:

  • Expertise in executive compensation and employee benefits law.
  • Strong knowledge of ERISA, tax laws, and securities regulations.
  • Ability to analyze complex legal and regulatory issues.
  • Proficient in drafting compensation and benefits-related agreements.
  • Excellent communication and negotiation skills.
  • Strong organizational and time-management abilities.
  • Ability to work effectively under pressure and meet deadlines.
