Job Overview:
A prestigious international law firm is seeking a Senior Associate Attorney with 5–8 years of experience to join its Asset Management & Investment Funds practice. This role is ideal for a candidate with deep knowledge of private fund formation and operational matters, particularly for both general partners (GPs) and limited partners (LPs). The position offers opportunities for direct client interaction, increasing responsibility, and collaboration with experienced attorneys across a global platform.

Location:

  • Boston, MA

Duties:

  • Advise emerging and established sponsors on the formation, structuring, and operation of private investment funds

  • Represent both GPs and LPs in fund negotiations, documentation, and regulatory compliance matters

  • Draft and review private placement memoranda, partnership agreements, subscription documents, and side letters

  • Counsel clients on Investment Advisers Act, Securities Act, and other regulatory considerations

  • Collaborate with attorneys and professionals across multiple offices and practice groups

  • Participate in client strategy development and provide mentorship to junior attorneys

Requirements:

  • 5 to 8 years of focused legal experience in asset management and investment funds

  • Significant experience representing fund sponsors and institutional investors

  • Strong client relationship and project management skills

  • Demonstrated ability to work both independently and as part of a team in a fast-paced environment

Education:

  • Juris Doctor (J.D.) from an accredited U.S. law school

  • Strong academic credentials required

Certifications:

  • Admission to the bar in the relevant practicing state (MA, NY, or D.C.), or eligibility to obtain promptly

Skills:

  • Advanced knowledge of private fund structures, including hedge funds, private equity, real estate, and venture capital funds

  • Strong drafting and negotiation skills

  • Familiarity with applicable securities regulations, including the Investment Company Act and Investment Advisers Act

  • Excellent analytical, communication, and problem-solving abilities

  • Proficiency with Microsoft Office and legal research tools
