Finance & Restructuring Counsel

Job Overview

A law firm seeks an experienced Finance & Restructuring Counsel to join its team, representing financial institutions and corporate trust clients in complex transactional matters. The ideal candidate will have substantial experience handling structured finance, municipal debt, and corporate debt transactions. This role requires strong contract negotiation skills, the ability to manage multiple deals independently, and a collaborative approach to working with legal teams and clients.

Duties

• Advise financial institutions and corporate trust clients on structured finance, municipal debt, and corporate debt transactions.
• Draft, review, and negotiate a wide range of transactional agreements, including trust indentures, loan agreements, account control agreements, agency agreements, custodial agreements, and servicing contracts.
• Oversee transaction documentation, ensuring compliance with regulatory and contractual requirements.
• Manage deal execution, collaborating with internal teams and external stakeholders.
• Supervise and mentor junior attorneys and paralegals.
• Provide strategic guidance to clients regarding financial and restructuring matters.
• Work collaboratively within a team-oriented environment to drive successful outcomes.

Requirements

• Minimum of seven years of experience in finance and restructuring transactions.
• Strong background in structured finance, corporate trust, or financial services law.
• Demonstrated ability to negotiate and draft complex financial agreements.
• Excellent writing, analytical, and client management skills.
• Ability to manage multiple transactions with minimal supervision.
• Proven experience mentoring junior attorneys and legal staff.

Education

• Juris Doctor (J.D.) from an accredited law school.

Certifications

• Active law license in at least one U.S. jurisdiction.
