A law firm in New York City is seeking a highly skilled Capital Markets Associate Attorney with 4-6 years of experience in a sophisticated large or mid-sized law firm. The ideal candidate should have a broad range of transactional experience covering both public and private equity and debt securities offerings, representing issuer, investor, and underwriter clients. Additionally, the candidate must possess experience with Exchange Act reporting and corporate governance compliance. This role requires excellent drafting and negotiation skills, and the candidate should be comfortable assuming a lead role in managing the execution of transactions, including a strong cross-border component.

 

Duties:

  • Handle a broad range of transactional work across public and private equity and debt securities offerings.
  • Represent issuer, investor, and underwriter clients in various transactions.
  • Ensure compliance with Exchange Act reporting and corporate governance requirements.
  • Draft and negotiate legal documents and agreements.
  • Assume a lead role in managing the execution of transactions.
  • Collaborate with clients and legal teams to achieve strategic objectives.

 

Requirements:

  • 4-6 years of experience with a sophisticated large or mid-sized law firm.
  • Extensive experience in both equity and debt securities offerings.
  • Strong cross-border transactional experience.
  • Expertise in Exchange Act reporting and corporate governance compliance.

 

Education:

Juris Doctor (J.D.) degree from an accredited law school.

 

Certifications:

Admission to practice law in the relevant jurisdiction.

 

Skills:

  • Broad transactional experience in capital markets.
  • Strong drafting and negotiation abilities.
  • In-depth knowledge of Exchange Act reporting and corporate governance.
  • Ability to manage and lead the execution of transactions.
  • Excellent communication and interpersonal skills.
  • Cross-border transactional experience is a plus.
  • Detail-oriented and organized approach to legal responsibilities.
