A law firm in Boston, MA, is seeking an experienced Capital Markets Associate Attorney to join their team. The ideal candidate will have 4-7 years of capital markets experience, with a strong background in representing issuers, underwriters, and placement agents in various securities offerings. Experience with permanent capital and M&A transactions and a background in the life sciences industry are advantageous.

Duties:

  • Represent issuers, underwriters, and placement agents in public offerings, private placements, and other securities offerings.
  • Provide legal advice on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Prepare and review registration statements, prospectuses, and other SEC filings.
  • Advise clients on capital markets transactions, including public and private securities offerings.
  • Conducted due diligence and managed legal aspects of securities transactions.
  • Assist in the preparation of transactional documents and provide support during negotiations.
  • Monitor and ensure compliance with relevant securities laws and regulations.
  • Collaborate with clients, colleagues, and other stakeholders to achieve desired outcomes in capital markets transactions.

Requirements:

  • 4-7 years of experience in capital markets law, focusing on public offerings, private placements, and securities regulations.
  • Experience representing issuers, underwriters, and placement agents.
  • Demonstrated expertise in compliance with the 1933 Act and 1934 Act.
  • Previous experience in a large law firm is required.
  • Experience with permanent capital and M&A transactions is helpful.
  • Experience in the life sciences industry is a plus.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Licensed to practice law in the state of Massachusetts.
