Job Overview: A law firm in New York City seeks a highly skilled Mid-Senior Level Capital Markets Associate Attorney to join dynamic team. The ideal candidate will have substantial experience in public and private equity offerings, SEC compliance, and corporate governance matters.

Duties:

  • Manage and oversee public and private equity offerings, including IPOs and follow-on offerings.
  • Draft and review proxy statements, S-4 registration statements, and other SEC filings related to business combination transactions.
  • Advise on ongoing reporting obligations under the ’34 Act, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Counsel public companies on corporate governance matters and compliance issues.
  • Handle day-to-day legal matters for public companies, including client counseling and transactional support.
  • Develop and maintain client relationships, fostering growth and retention.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to one or more State Bars (New York Bar preferred).
  • 4+ years of experience in capital markets law, preferably focusing on both issuer and underwriter representation.
  • Experience with SPACs, REITs, and debt offerings is a plus.
  • Strong academic credentials and drafting/negotiation skills.
