A law firm seeks a mid-level Associate Attorney with a minimum of three years of experience to join its Business Group in Spokane, WA. This role involves advising businesses of various sizes on complex transactions, including entity formation, governance, and capital raises. The successful candidate will work across industry sectors and collaborate with legal professionals from multiple locations, providing clients with strategic counsel on both day-to-day operations and growth-focused transactions.

Duties

  • Advise clients on entity selection, formation, and governance structures tailored to business needs.
  • Provide guidance on day-to-day legal matters for businesses, from startups to established companies.
  • Manage and oversee capital raise transactions, including private offerings, equity and debt financing, and funding from angel investors, venture capital, and other sources.
  • Assist clients in navigating public company matters, capital markets, and mergers and acquisitions (M&A) as needed.
  • Collaborate with attorneys and team members to deliver cohesive, client-centered solutions on diverse projects.

Requirements

  • Experience: 3+ years in corporate governance, entity formation, and counseling on capital raises and financing; additional experience in public company matters, capital markets, or M&A is advantageous.
  • Academic Credentials: Strong academic record with a JD from an ABA-accredited law school.
  • Licensing: Must have an active license to practice law.
  • Skills: High proficiency in analysis, organization, and legal writing.
  • Client Service: Dedicated client-service mindset with excellent communication and interpersonal skills.
  • Teamwork: Ability to work within and contribute to a diverse, collaborative team environment.
  • Project Management: Skilled in managing multiple projects and timelines simultaneously.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.
