Senior Associate - Asset-backed Finance

A law firm seeks an experienced Senior Associate to join its Asset-Backed Finance team. This role offers a unique opportunity for a professional with 6-8 years of experience in asset-backed finance transactions, specifically in advising issuers, underwriters, placement agents, and collateral managers across structured finance offerings. Duties:

• Advise clients on a broad range of asset-backed finance transactions, including securitization offerings.
• Work with financial institutions, issuers, and startups to structure and implement asset-backed financing solutions.
• Represent clients in all stages of structured finance, from initial drafting and negotiation to execution.
• Collaborate with a diverse team to address complex legal and financial issues related to asset-backed finance.
• Review, draft, and negotiate transaction documentation such as indentures, servicing agreements, and credit enhancements.
• Provide strategic guidance to clients on compliance with applicable regulations and market conditions.
• Contribute to the development of innovative solutions in structured finance to meet client needs.

Requirements:

• 6-8 years of experience in asset-backed finance or structured finance.
• Strong expertise in asset-backed transactions, including securitization, and the ability to handle complex legal issues.
• Experience advising a variety of clients, including issuers, underwriters, and financial institutions.
• Ability to lead and manage significant transactions independently while also working collaboratively within a team.
• Excellent drafting, negotiation, and communication skills.
• A strategic and solutions-oriented approach to client service.
• Strong organizational and time-management abilities, with a focus on delivering results.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Active membership in the NY Bar.

Skills:

• Extensive knowledge of asset-backed finance, securitization processes, and structured finance regulations.
• Advanced drafting and negotiating skills in complex financing transactions.
• Strong understanding of legal and financial terminology in the context of structured finance.
• Ability to manage multiple priorities and complex transactions simultaneously.
